Terms of Service

1. Eligibility and Acceptance
By using indi, you confirm that you are at least 18 years old, or have the legal authority to act on behalf of a parent or guardian, and that you are legally capable of entering into this agreement under the laws of your country of residence including but not limited to Australia, the United States, the United Kingdom, and the European Union.
You also agree to comply with all applicable data protection, health information, and consumer rights laws. If you do not agree with these Terms, you must not use indi.
2. Changes to These Terms
indi reserves the right to modify these Terms at any time. Any changes will be made available in app or on our website. Continued use of indi after updates indicates your acceptance of the revised Terms.
3. Services Provided
indi is a digital tool designed to support parents and caregivers in managing a child's developmental health through observations, documentation, and appointment coordination. indi is not a substitute for professional healthcare advice or diagnosis. Always consult qualified medical professionals for any concerns regarding your child's health.
4. User Types
The Service is used by different types of users. These Terms apply to all users, and certain additional terms apply depending on how you use the Service:
- Parent or Carer Users: individuals using the Service for personal, family, or caregiving purposes.
- Clinician Users: qualified professionals (for example, health or allied health practitioners, educators, or support professionals) who use the Service in a professional capacity, including when supporting Parent Users.
If you are a Clinician User, the section "Additional Terms for Clinician Users" applies to you.
If you use the Service as a Clinician User (even if you also use it personally), the Clinician User terms apply to that professional use.
For clarity, use of the Service in a professional context will always be treated as use by a Clinician User for the purposes of these Terms.
5. Definitions
Content means information, text, files, notes, messages, and other materials submitted to, generated within, or made available through the Service.
User Content means Content that you (or someone using your account) submit or upload.
Clinician Content means User Content submitted by a Clinician User in a professional capacity (including notes, summaries, resources, or communications shared with Parent Users).
6. AI Features
Certain features of the Service may use artificial intelligence or machine-learning technologies ("AI Features") to assist with summaries, insights, or reflections. Use of AI Features is optional and may change over time as the Service evolves.
Inputs:"Inputs" means any information, text, files, notes, or data you choose to submit when using AI Features.
Outputs:"Outputs" means any content generated by the AI Features in response to Inputs.
To support ongoing improvement of AI Features, indi may use de-identified or aggregated portions of Inputs to evaluate and refine system performance, subject to the controls and opt-out options described in our Privacy Policy.
AI Features may be powered by third-party providers. Your use of AI Features is subject to any applicable third-party policies governing those technologies.
If access to AI Features is suspended or limited as a result of your misuse, or misuse by someone using your account, or a breach of applicable third-party policies, indi is not responsible for any resulting loss of access.
AI Features are probabilistic and may produce Outputs that are incomplete or context-dependent. AI Outputs are intended to support reflection, documentation, and decision-making, and should be reviewed and interpreted in light of your own knowledge, judgment, and circumstances.
AI Outputs are provided for informational and support purposes only and do not constitute medical, legal, financial, educational, or other professional advice. You remain responsible for consulting qualified professionals where appropriate.
You are responsible for ensuring that you have the right to submit any Inputs, including obtaining consent where Inputs relate to another person or a child. Do not submit sensitive, confidential, or highly personal information unless you are comfortable with it being processed by AI systems. This does not change our obligation to handle children's and family data with heightened care, as described in our Privacy Policy.
You must not use AI Features to generate or promote harmful, abusive, misleading, or illegal content, attempt to replace professional diagnosis or treatment, misuse personal information or violate privacy laws, or reverse-engineer, train, or compete with underlying AI systems.
To the extent permitted by law, we make no warranties regarding AI Outputs and are not liable for decisions made in reliance on them. Our overall liability in connection with AI Features is subject to the same limits described elsewhere in these Terms.
7. User Responsibilities
- Use indi lawfully and in compliance with relevant health and data protection laws.
- Only share information that you have a right to share, including children's data, with appropriate consent where required.
- Protect your login credentials and maintain the confidentiality of your account.
- Ensure that the information you provide is accurate, complete, and kept up to date.
8. Privacy and Data Handling
indi is designed to handle personal information in a manner consistent with applicable privacy laws, including the Australian Privacy Act 1988 (Cth), the General Data Protection Regulation (EU/UK) where applicable, and HIPAA-aligned safeguards for applicable United States-based users.
We handle children's data with particular care. You must not misuse the Service to share information that you are not authorised to provide.

9. Prohibited Conduct
You agree not to:
- Upload malicious content or attempt to breach platform security.
- Use indi to store or transmit data in violation of applicable privacy, child protection, or health information laws.
- Falsify data or impersonate others.
- Engage in any use that could cause harm or distress, particularly when interacting with sensitive developmental data.
indi is built on trust. We gently but firmly remind you that the misuse of this service especially involving children's health information may have legal and ethical consequences.
10. User Content
You retain ownership of the content you upload.
You grant indi a licence to host and process User Content to provide the Service and to improve and develop its features, including AI-enabled functionality, in accordance with our Privacy Policy.
If you are a Clinician User, you are responsible for ensuring you have the right and consent to upload and share Clinician Content that relates to Parent Users, children, or third parties.
This licence includes processing User Content for features you enable, including system integrations initiated at your direction.
This licence does not permit the use of identifiable personal or children's data for AI model training except as described in our Privacy Policy.
11. Additional Terms for Clinician Users
If you are a Clinician User:
- You are solely responsible for your professional judgments, advice, recommendations, and services, including how you use any information obtained through the Service.
- The Service is intended to support, not replace, clinical decision-making, and does not remove or reduce your professional responsibilities.
- You must not represent that indi is providing clinical services or endorsing your advice.
- Use of the Service does not create a clinician–patient relationship between indi and any user.
If you are a Clinician User and use AI Features, you must independently review and verify any Outputs before relying on them or sharing them with Parent Users, and you remain fully responsible for their use in any professional context.
Licensing and scope of practice
You represent and warrant that you hold and will maintain all licences, registrations, certifications, authorisations, and (where applicable) professional insurance required to provide services in your jurisdiction, and that you will use the Service only within your lawful scope of practice.
Compliance with laws and professional obligations
You are responsible for ensuring your use of the Service complies with all laws, professional standards, and regulatory requirements applicable to you, including those relating to privacy, consent, record-keeping, mandatory reporting, and communications with clients or families.
Consent and third-party information
You must ensure you have all necessary rights and consents before uploading, sharing, or processing any personal information relating to a Parent User, a child, or any third party through the Service. You are responsible for the accuracy, lawfulness, and appropriateness of any Clinician Content you submit or share.
System integrations and data sharing
The Service may allow Clinician Users to integrate indi with third-party systems (such as practice management, record-keeping, or communication tools).
If you choose to enable an integration:
- you are responsible for ensuring you have all necessary rights, consents, and legal authority to share client or patient data with those systems;
- you acknowledge that data shared through an integration may be handled in accordance with the third party's own terms and privacy practices; and
- indi is not responsible for the security, use, or handling of data once it is transmitted to a third-party system at your direction.
No endorsement
indi does not verify, endorse, or guarantee the qualifications, conduct, or advice of any Clinician User. Any interaction between Parent Users and Clinician Users is between those users, and indi is not responsible for the professional services provided by Clinician Users.
Indemnity (Clinician Users)
To the extent permitted by law, you agree to indemnify and hold harmless indi from claims, losses, liabilities, and expenses arising out of or connected with: (a) your professional services, advice, or conduct; (b) your breach of these Terms or professional obligations; or (c) your failure to obtain required consents or comply with applicable laws.
Suspension or termination (Clinician Users)
We may suspend or terminate your access (or restrict certain features) if we reasonably believe your use of the Service poses a risk to users (including children), violates applicable law, or undermines the integrity or security of the Service.
12. Intellectual Property
indi, its technology, designs, trademarks, and all associated intellectual property are owned by indi Soft Pty Ltd. You may not reproduce or distribute any material without written consent.
13. Disclaimer of Warranties
indi is provided "as is" and "as available." While we aim for accuracy and reliability, we make no guarantees about the completeness or suitability of the platform for your particular circumstances. Always consult licensed professionals where appropriate.
Indi is not a healthcare provider:indi provides a software service. indi does not provide medical, clinical, or other professional services and does not supervise, direct, or control any Clinician User's professional activities.
14. Limitation of Liability
To the extent permitted by applicable law, indi Soft Pty Ltd shall not be held liable for indirect, incidental, or consequential damages arising from your use of the platform or any reliance on its contents.
15. Data Security and Residency
We use secure encryption and cloud infrastructure. Data is currently stored in the United States. We are progressively enabling support for HIPAA-aligned hosting and GDPR-aligned processing.
While we take security seriously, no system is completely immune to risk. You use indi at your own discretion.
16. Fees and Payment
Pricing: indi offers paid subscription plans. Pricing, billing terms, and any available trial offers will be clearly presented to you before you complete a purchase or start a trial.
Billing: You agree to provide accurate billing information. Payments are processed securely through our providers.
Auto-renewal and billing cycle: Paid subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected) unless you cancel before renewal.
Trials: If you start a free trial, you will be required to provide valid payment details. Unless you cancel before the end of the trial period, your subscription will automatically convert to a paid plan and you will be charged the applicable subscription fee.
To avoid being charged, you must cancel your subscription at least 24 hours before the end of the trial period. Cancellations must be made through the platform where you started the trial (for example, via your indi account, Apple App Store, or Google Play Store settings).
Price changes: If we change pricing for a paid plan, we will provide advance notice in app or via email before the new price takes effect.
Cancellation: You can cancel at any time, and cancellation takes effect at the end of the current billing period unless otherwise stated at the time of purchase. You will retain access through the end of the paid period.
Plan changes: If you subscribed on the web, you can switch between monthly and annual plans at any time through the Stripe billing portal. If you subscribed on the App Store or Play Store, in-app plan switching is not currently supported — see our Refund Policy for how to move to an annual plan and how we credit unused mobile subscription time.
Refunds and credits: Cancellation, refund, and credit terms are set out in our Refund Policy.
17. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Where applicable, mandatory consumer or privacy rights under local law may also apply. Disputes will first be attempted to be resolved amicably; if unsuccessful, binding arbitration in Sydney may be pursued.
18. Termination
indi reserves the right to suspend or terminate access in the event of a violation of these Terms, misuse of the platform, or conduct deemed harmful to others or the integrity of the service.
Upon cancellation of your account, you will retain access to your data until the end of the applicable billing period (if any).
Where available, indi will provide reasonable means for you to download or export your User Content during this period.
After cancellation, we may retain your data for a limited period for backup, security, audit, or legal compliance purposes, after which it will be deleted or de-identified in accordance with our Privacy Policy.
